Raise equity in Mexico
We get your company investor-ready before the first meeting, then advise you through term sheet and close, whether it is a Series A or a growth round. You get a three-to-five-year driver-based model, a data room organized for due diligence, the equity story, valuation and round structure, a map of investors that fit your stage, sector and geography, and term sheet review. From first call to signed term sheet typically takes about 20 weeks, depending on how ready your numbers are.

Raise debt in Mexico: venture debt and credit
If your company already has predictable revenue, not every capital need calls for a new round. We size, structure and negotiate debt that fits your cash cycle: venture debt, credit facilities and working capital lines to fund inventory, receivables or a loan book without giving up more equity than you should. The lender map covers banks, venture debt funds and private credit in Mexico, the region and the US, with rate, tenor, warrants and covenants side by side. Typical timeline: about 12 weeks from capacity analysis to funding.

Sell your tech company in Mexico
Whether a buyer has approached you, you plan to sell in a year or two, or you want to know what the company is worth, we start with valuation: DCF, trading comparables and precedent transactions. Then we prepare the company, map strategic and financial buyers in Mexico, the region and beyond, and stay with you through LOI and SPA negotiation to closing. If the company is a fintech authorized by the CNBV under Mexico's Fintech Law, or holds another financial license, buyers will look at that first, so the process prepares it before due diligence. A competitive sale process typically takes about six months.

Fractional CFO and FP&A in Mexico
When the monthly close takes too long or the board asks for numbers you build by hand, we run the finance function with your team: monthly close and reporting, budget and forecast, KPI dashboard, board package, pricing and capital allocation, and regular sessions with a senior CFO. For many companies it replaces a full-time CFO until the business needs one in-house; for others, it adds capacity to the CFO they already have. If you run several entities or countries, such as Mexico and Colombia or a US holding company, we consolidate them into one monthly package. We work with NetSuite, QuickBooks, Odoo and other ERPs, and the process is in place within the first 90 days.

Common questions
Which firms advise scaleups in Mexico on raising capital or selling the company?
Optiks is one of them. From its office in Monterrey, it advises technology scaleups with more than US$5M in revenue on raising equity or debt, selling the company and adding a fractional CFO. Its clients in Mexico include Kredi.
What is a fractional CFO, and when does a scaleup need one?
A senior CFO who works with the company part-time, without a full-time hire. It makes sense when the monthly close drags on, the board asks for numbers built by hand, or the company opens new entities or countries.
What is venture debt, and when is it a better fit than an equity round?
Debt for growing technology companies, often with warrants attached. In Mexico it comes from venture debt funds, specialized units at some banks and private credit providers. It fits when revenue is predictable and the capital is needed to grow, fund receivables or inventory, or extend runway without excess dilution.
How does a Mexican scaleup get ready for a round with US investors?
Early: ideally three to six months before meeting investors. US funds look for a financial model consistent with the metrics, cohorts and unit economics, an organized data room and a story built on the numbers, all in US dollars.
How do you sell a tech company in Mexico, and who buys?
Through a competitive process: valuation, materials and data room, confidential outreach to buyers who sign an NDA, offers, negotiation, due diligence and closing, in about six months. Buyers can be strategic (companies in the sector, in Mexico or abroad) or financial (funds), from the region, the US or other markets.
What size of company does Optiks work with?
Technology companies with more than US$5M in revenue, especially fintech and SaaS, preparing a round, a debt facility, a sale or a stronger finance function.
Does Optiks have an office in Mexico?
Yes, in Monterrey (IOS Offices Arboleda, San Pedro Garza García). From there it works with companies across Mexico, such as Mexico City or Guadalajara, as well as Colombia, the rest of Latin America and the United States.
Do you raise the capital for us?
No. We prepare your company and advise you through the process. Your conversations and agreements with investors are yours: Optiks does not act as a broker and does not offer or sell securities.
